Forward-looking statements and disclaimers
Last updated Sep 8, 2026
About this site. This is a concept site prepared as a design study for how Fermi America could present itself online. It is not the official Fermi America website and is not published by Fermi Inc. The official corporate website is fermiamerica.com and the official investor-relations site is investor.fermiamerica.com. Figures on this site are drawn from Fermi Inc.’s public filings and releases as of the dates shown and are superseded by any later filing. Where this site and an SEC filing differ, the filing controls.
Forward-looking statements
This website contains forward-looking statements within the meaning of Section 27A of the Securities Act of 1933, as amended, and Section 21E of the Securities Exchange Act of 1934, as amended. Statements that are not historical facts, including statements about Fermi’s development plans for Project Matador; targeted generation capacity, acreage and data-center scale; construction, equipment-delivery and first-power timelines; permitting and regulatory approvals (including from the Texas Commission on Environmental Quality and the U.S. Nuclear Regulatory Commission); customer leases and expected contracted revenue; strategic alliances and third-party-financed generation; financing plans and liquidity; tax status; and leadership transition, are forward-looking. Words such as “plans,” “targets,” “expects,” “anticipates,” “intends,” “believes,” “designed to,” “expandable,” “up to” and similar expressions identify forward-looking statements.
Forward-looking statements are based on current expectations and involve risks and uncertainties that could cause actual results to differ materially, including: the company’s limited operating history and lack of revenue; its ability to obtain and maintain permits and licenses, and the possibility that capacity beyond currently permitted levels (approximately 6 GW of natural-gas generation), or acreage beyond land it currently controls, is never realized; its ability to sign and retain creditworthy tenants and to satisfy conditions in customer agreements; the availability and cost of capital, including the matters discussed under “Liquidity and Capital Resources” in its periodic reports; construction, supply-chain, interconnection, natural-gas and water risks; the cost, timing and uncertainty of nuclear licensing and construction; counterparty performance, including under framework agreements that have not become definitive; litigation and governance matters; and general economic and market conditions.
These and other risks are described under “Risk Factors” in Fermi Inc.’s Annual Report on Form 10-K and Quarterly Reports on Form 10-Q filed with the U.S. Securities and Exchange Commission and available at www.sec.gov. Forward-looking statements speak only as of the date indicated, and neither this site nor the company undertakes any obligation to update them except as required by law.
How figures are labelled on this site
Every metric is drawn from a dated facts register and carries a status. Reported, landed, permitted and contracted describe disclosed facts as of the date shown. Pending, planned, target and estimate are forward-looking. Where the company has used a number that is not contained in an SEC filing (for example, community job estimates published on its newsroom), it is labelled a company estimate. Renders are concept visualizations and are labelled as such; photographs are dated.
Not an offer of securities
Nothing on this website constitutes an offer to sell, or the solicitation of an offer to buy, any securities of Fermi Inc. in any jurisdiction, nor shall there be any sale of securities in any jurisdiction in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of that jurisdiction. Any offer of securities will be made only by means of a prospectus or other offering document that complies with applicable law. Nothing on this site is investment, legal or tax advice.
Third-party information and hyperlinks
Links to websites operated by others, and any third-party content (including analyst coverage, media coverage or partner information), are provided for convenience and do not constitute endorsement, adoption or verification of that content. Neither this site nor Fermi is responsible for, and neither updates, information on third-party sites. Opinions, estimates and forecasts of analysts or journalists are theirs alone and do not represent the views of Fermi or its management. Media coverage in the newsroom is summarized and linked to the original publisher; the full text is not reproduced.
Market data
Share-price and volume information for Fermi Inc. common stock (Nasdaq: FRMI; London Stock Exchange: FRMI) shown on this site is supplied by third-party data providers and is delayed by at least 15 minutes (20 minutes where indicated). Data are provided for informational purposes only, are not intended for trading purposes, and are provided “as is” without warranty of accuracy, completeness or timeliness.
Regulatory announcements (United Kingdom)
Fermi Inc.’s common stock is admitted to the Official List of the UK Financial Conduct Authority in the Equity shares (international commercial companies secondary listing) category of the FCA Official List; admitted to trading on the Main Market of the London Stock Exchange. Announcements that Fermi is required to make under the UK Market Abuse Regulation, the FCA’s UK Listing Rules and Disclosure Guidance and Transparency Rules are released through a Regulatory Information Service (RNS) and filed with the FCA’s National Storage Mechanism. Inside information announced by Fermi is retained on the Regulatory News page for at least five years from publication. Where an announcement is issued in the United States before the London market opens, the RNS version may carry a later UK time-stamp; the substance of the two versions is identical.

Fermi Inc. announces material information through press releases distributed over a newswire, Current Reports on Form 8-K and other filings with the SEC, RNS announcements in the United Kingdom, and its official investor-relations website. This concept site is not a channel of distribution for material information and should never be the first place a fact appears.
